Objectives :
The objective of this course is to acquaint students with corporate governance theories and practices. This course is to help students :
- obtain in-depth understandings of organizations through good comprehension of central theoretical perspectives (property rights theory, transaction costs theory and agency theory).
- link corporate governance theories with corporate finance
Course summary :
The first part of the course is dedicated to teaching theories. In order to confront these theories to practices, the students apply the theoretical framework to study the Shell case. The last part of the course aims at introducing the students to academic research in corporate governance. During three thematic sessions about actual research topics addressed by academics, students must present and discuss research papers.
